1. GRANT OF LICENSE.

This EULA grants you the right for installation and use of the SOFTWARE

PRODUCT.

2. REPRODUCTION AND DISTRIBUTION

You may give copies of the unregistered TRIAL version of the SOFTWARE PRODUCT

to anyone, copy it to any media, distribute it by any means, and upload it to shareware

sites on the Internet, as long as the original SOFTWARE PRODUCT remains unmodified.

3. OTHER RIGHTS AND LIMITATIONS.

A) Limitations on reverse engineering, de-compilation, and disassembly

You may not reverse engineer, de-compile or disassemble the SOFTWARE PRODUCT,

except and limited only to the extent that such activities are expressly permitted in

writing by the LICENSOR.

B) Separation of Components

The SOFTWARE PRODUCT is licensed as a single product. Its component parts may

not be separated for use on more than one computer or with other applications unless

expressly permitted in writing by the LICENSOR.

C) Software Transfer

The LICENSEE may transfer all of his/hers rights under this EULA, provided the

recipient agrees to the terms of this EULA. Such transfers MUST be permanent.

The LICENSEE may not rent or lease the SOFTWARE PRODUCT to any other person or

entity.

D) Termination

Without prejudice to any other rights, the LICENSOR may terminate this EULA if the

LICENSEE fail to comply with the terms and conditions of this EULA. In such event, the

LICENSEE must destroy all copies of the SOFTWARE PRODUCT and all of its

component parts.

4. COPYRIGHT.

All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to

any images, photographs, animations, video, audio, music, text, and "applets"

incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and

any copies of the SOFTWARE PRODUCT are owned by the LICENSOR. Copyright

laws and international treaty provisions protect the SOFTWARE PRODUCT.

5. LIMITED WARRANTY

A) NO WARRANTIES

The LICENSOR expressly disclaims any warranty for the SOFTWARE PRODUCT. The

SOFTWARE PRODUCT and any related documentation is provided "as is" without

warranty of any kind, either expressed or implied, including, but not limited to, the

implied warranties or merchantability, fitness for a particular purpose, or

non-infringement. The entire risk arising out of use or performance of the SOFTWARE

PRODUCT remains with the LICENSEE.

B) NO LIABILITY FOR DAMAGES.

LICENSOR shall not be liable for any indirect, special, incidental or consequential

damages (including damages for loss of business, loss of profits, or the like),

whether based on breach of contract, tort (including negligence), product liability or

otherwise, even if LICENSOR or its representatives have been advised of the

possibility of such damages and even if a remedy set forth herein is found to have

failed of its essential purpose. To the extent provided by applicable law, the foregoing

limitations of damages do not apply to damages for personal injury to you, if any.

6. GOVERNING LAW

This Agreement shall be governed by the laws of the country of India.

7. DISPUTES

Each of the parties hereby agrees to irrevocably submit any disputes between the

parties concerning this Agreement to arbitration in India. The place of arbitration shall

be Chennai and the language of arbitration shall be English.

8. AMENDMENTS

No purported variation of this Agreement shall be effective unless made in writing and

signed by the party to be charged.

9. SEVERABILITY

If any provision of this Agreement is declared by any judicial or other competent

authority to be void, voidable, illegal or otherwise unenforceable then the remaining

provisions of this Agreement shall continue in full force and effect.
